Commercial Registration and Trade Names in Saudi Arabia: A Guide for New Businesses

Your commercial registration (CR) is your business's legal identity, and your trade name is how authorities and customers know you. We explain how to obtain both and how they relate to your trademark.

The commercial registration (CR) is the official entry that proves a business exists and records its details with the Ministry of Commerce, while the trade name is the name under which the business is registered and trades. A new business usually starts by reserving its trade name, then obtains its CR online through the Ministry's platforms, bearing in mind that a trade name is no substitute for registering a trademark with the Saudi Authority for Intellectual Property (SAIP).

What is a commercial registration and why is it essential?

The commercial registration acts as the business's "ID card". It contains its key details, such as its name, legal form, activity, owner or partners, manager and, for companies, capital. It is required when:

  • Opening the business's bank accounts.
  • Registering with government authorities such as zakat and tax, social insurance and human resources.
  • Contracting with other authorities and companies.
  • Launching and authenticating an online store.

The rules on commercial registration and trade names have recently been updated to simplify procedures, so always check the latest requirements on the Ministry of Commerce's official platform.

What is the difference between a sole proprietorship and a company in the register?

  • Sole proprietorship: the CR is registered in the individual's own name, and their liability for the business's debts is unlimited.
  • Company: registered as a legal entity separate from the partners, with the CR following its legal form under the Companies Law.

This choice determines much of what follows, from the extent of your liability for debts, to how you bring in a partner, to whether the business can contract with parties that only deal with companies. It is therefore best to settle the legal form before reserving the name, because the name is tied to the entity under which it is registered.

How do you choose an acceptable trade name?

Trade names are subject to rules set by the laws and regulations. General considerations include:

  • It must not be identical or confusingly similar to a trade name already registered.
  • It must not contain words that are contrary to public order or misleading as to the nature of the activity.
  • It must not conflict with a third party's registered trademark or a well-known name.
  • It must be consistent with the legal form and activity as the rules require.

Precise details, such as the permitted language and format, depend on the rules in force, so check them when reserving. From a marketing perspective, choose a name that is easy to pronounce and remember, available as a domain name and social media handle, and capable of registration as a trademark; a purely descriptive name, such as the name of the product itself, is hard to protect later.

What are the steps to reserve a trade name and issue a CR?

  1. Log in to the Ministry of Commerce platform via Nafath (National Unified Access).
  2. Search for the proposed name to check availability, and prepare several alternatives.
  3. Reserve the trade name and receive confirmation of the reservation.
  4. Submit the CR application for a sole proprietorship, or the company incorporation application including the articles of association.
  5. Select the activity from the approved activities guide and enter the address and other required details.
  6. Pay the fee set by the competent authority, checking it on the platform as it may change.
  7. Issue the commercial registration and keep its electronic copy.

After that, make sure to update your CR details whenever anything changes, and comply with any periodic requirements set by the Ministry. Changing your address, activity, manager or partners without updating the CR can cause inconsistencies in your records with banks and government authorities, and hold up your transactions just when you need them done quickly. It is also advisable to display your CR number on your invoices, online store and official correspondence as the regulations require.

What is the difference between a trade name and a trademark?

This is one of the concepts new business owners most often confuse:

Trade name Trademark
Registered with the Ministry of Commerce Registered with the Saudi Authority for Intellectual Property (SAIP)
Identifies the business itself Identifies products and services
Linked to the commercial registration Independent protection for ten years, renewable
Does not give you a full exclusive right to use the logo Gives the right to use the mark and stop others from imitating it within its classes

So you may hold a registered trade name, only to discover that someone else has registered the same name as a trademark. The solution is to carry out a trademark search before adopting the name, then register your trademark as soon as you launch.
